Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of Txform.ph (the "Service"), operated by TalloCPA, a CPA firm based in Iloilo City, Philippines ("Txform", "we", "us"). By creating an account or using the Service, you agree to these Terms.

2. The Service

Txform helps Philippine bookkeepers and CPA firms turn accounting records into BIR reports, schedules, and forms. The Service is a tool that assists with preparation; it does not replace your professional judgment or your responsibility for the accuracy and timely filing of returns.

3. Accounts

You are responsible for maintaining the confidentiality of your sign-in credentials and for all activity under your account. You must provide accurate registration information and promptly update it when it changes.

4. Subscriptions & billing

• The Service is billed at ₱500 per business per month, or the rate shown at the time of subscription.
• Subscriptions renew monthly until cancelled. You may cancel a business at any time; billing for that business stops at the end of the current period.
• Fees are exclusive of any taxes that may apply.

5. Your data and content

You retain all rights to the accounting and client data you upload. You grant us a limited licence to process that data solely to provide the Service. Our handling of personal data is described in our Privacy Policy.

6. Acceptable use

You agree not to misuse the Service, including attempting to breach its security, uploading unlawful content, or using it to violate any applicable law or the rights of others.

7. Professional responsibility & no warranty

The Service is provided "as is". While we work to keep computations accurate and current with BIR requirements, you remain responsible for reviewing all outputs before filing or payment. Txform is not a substitute for professional advice and does not guarantee acceptance of any return by the BIR.

8. Limitation of liability

To the maximum extent permitted by law, Txform's total liability arising out of or relating to the Service is limited to the fees you paid for the Service in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including penalties or surcharges arising from filings.

9. Suspension & termination

We may suspend or terminate access for breach of these Terms or non-payment. You may stop using the Service at any time. On termination, you may request an export of your data within a reasonable period, after which it may be deleted per our retention practices.

10. Changes

We may update these Terms. Material changes will be posted here with a revised date and, where appropriate, notified to you. Continued use after changes take effect constitutes acceptance.

11. Governing law

These Terms are governed by the laws of the Republic of the Philippines, and disputes are subject to the exclusive jurisdiction of the courts of Iloilo City, Philippines.
